OD light flashing

OD light flashing
1999 ES 85,000 mi. with flashing OD light. Mazda dealer states OD code P0734 incorrect gear ratio #4 and requires new transmission. Dealer cost for rebuilt $3600 with 12 mon. 12 K mile warranty.
Has anyone have this problem ? Recommendations ?
